Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Audact compliance platform operated by Audact AI Ltd, 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("Audact" or "Audact AI Ltd"). Commercial relationships, customer contracts, hiring and invoicing will transition to Audact (Ireland) Ltd (in formation, expected Q3 2026) once incorporated. Audact AI Ltd remains the IP-holding entity for the 44-family patent portfolio.

1A. Acceptance & License Grant

By creating an account, accessing the platform, or signing a pilot order form, you accept these Terms on behalf of yourself or the legal entity you represent. Subject to your continued compliance with these Terms and payment of applicable fees, Audact grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the platform for your internal business operations and (where applicable) on behalf of your end-clients during your subscription term.

1B. Restrictions

You may not: (a) reverse-engineer, decompile, or attempt to derive the source code or models underlying the platform; (b) bypass, disable, or circumvent the governance engine, evidence chain, or rate limits; (c) use the platform to develop a competing product or service; (d) resell, sub-license, or white-label the platform outside the scope of your Agency-tier subscription; (e) use the platform in violation of applicable law (including export controls, sanctions, EU AI Act prohibitions, or data-protection law); or (f) submit inputs intended to cause the platform to generate unlawful, infringing, or harmful output.

2. Service Description

Audact provides voice AI compliance infrastructure including: a Policy Engine for multi-jurisdiction regulatory enforcement, a Pre-Response Validator for real-time compliance checks, and an Evidence Layer for cryptographic audit trails.

Audact is a compliance tool, not legal advice. You remain responsible for your own regulatory compliance.

3. Subscription & Pricing

Plans are billed monthly unless an annual prepay is agreed. Pricing is as displayed at time of purchase or as set out in a signed order form. Overage charges apply for calls exceeding plan limits. We will notify you at 80% and 100% of your plan limit.

White-Glove Pilot Programme: €1,497 one-time implementation fee + €499/mo Agency Pro recurring (5,000 minutes included, €0.11/min overage). The pilot runs for 90 days of intensive engineering support, after which the recurring subscription continues on a rolling monthly basis. Service-credit guarantee scope is described in section 4 and on our Trust Center.

4. Audact Guarantee — Scope

The Audact Guarantee applies only to misses by the Audact governance engine — i.e. cases where the engine should have blocked an utterance per the active rules but did not. Scope and exclusions are defined in the Audact Guarantee section of our Trust Center. Specific monetary caps and any insurance backing will be set in the reseller-agreement template after EU counsel review (target late May 2026); no monetary commitment is made in these Terms ahead of that signoff.

Customers must (a) keep the governance engine enabled per jurisdiction, (b) maintain valid API credentials, (c) not bypass or circumvent validation, and (d) report incidents within 24 hours of discovery.

5. Data Processing

Audact processes call metadata on your behalf as a Data Processor under GDPR. A separate Data Processing Agreement (DPA) governs this relationship. See our DPA.

6. Intellectual Property

Audact has filed 44 patent-pending families at the UK Intellectual Property Office (PCT filing targeted Q1 2027). All platform IP, models, models-weights, documentation, designs, trademarks and improvements are and remain the exclusive property of Audact AI Ltd. All rights not expressly granted are reserved. Customer retains ownership of Customer Data; Audact retains ownership of aggregate, anonymised, and statistical data derived from platform usage where permitted by applicable law.

7. Warranties

Audact warrants that it will provide the platform with reasonable skill and care and in material conformance with documentation. EXCEPT FOR THE FOREGOING AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND AUDACT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Audact does not warrant uninterrupted or error-free operation and does not provide legal advice.

8. Limitation of Liability

Except for the Audact Guarantee scope defined in section 4 (and once activated in the reseller-agreement template), Audact’s total aggregate liability arising out of or in connection with these Terms is limited to the fees paid by Customer in the 12 months preceding the event giving rise to the claim. Audact will not be liable for indirect, incidental, consequential, exemplary, special or punitive damages, lost profits, lost revenue, or loss of data — even if advised of the possibility. Audact is not liable for regulatory fines resulting from customer misconfigurations, bypassed validations, or use outside documented parameters. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited under applicable law.

9. Termination

Either party may terminate for material breach not cured within 30 days of written notice. Audact may suspend access immediately for unpaid invoices over 14 days past due, security risk, or use that violates section 1B. On termination, Customer’s license ceases; Audact will export Customer Data on request within 30 days; evidence-chain records may be retained for the period required by applicable law (EU AI Act evidence retention; up to 10 years for regulated financial-services use). Sections 1B, 6, 7, 8, 10 and 11 survive termination.

10. Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be resolved exclusively in the courts of London, United Kingdom, except that either party may seek injunctive relief in any competent jurisdiction to protect its intellectual-property rights or confidential information.
